### What Headtilts does

Headtilts sells the event’s tickets as the seller of record and handles every payment and refund.

- **Listing:** publishes the event page on Headtilts from details the organiser supplies, and keeps it updated when they change.
- **Payments:** takes all ticket payments for the event through its own payment provider. The organiser does not take payment for these tickets elsewhere.
- **Tickets:** emails each buyer a ticket with a QR code and a booking page.
- **Refunds:** sends refunds as this agreement and the site’s refund policy set out.
- **Door:** gives the organiser’s team the ticket scanner and check-in list, at no extra charge.
- **Organiser access:** gives the organiser an account to see sales, bookings and attendee details for the event, and to approve or cancel bookings.
- **Support:** answers buyers’ questions about payments, tickets and refunds.

Headtilts does not run the event and is not responsible for its venue, lineup or conduct.

### What the organiser does

- **Run the event** as listed: date, times, venue and the lineup announced.
- **Permissions:** hold every licence, permission and clearance the event needs, including the venue booking, police or local permission where required, and music performance licences.
- **Honour every valid ticket** sold on Headtilts and admit its holder, scanning tickets with the Headtilts scanner at the door.
- **Accurate listing:** give correct details, and tell Headtilts straight away about any change of date, time, venue, lineup or capacity.
- **Capacity:** not sell more places, across all channels, than the venue can safely hold. Tickets sold elsewhere are agreed in writing with Headtilts first.
- **Safety and conduct:** provide security, first aid and a safe venue, and follow the law at the event.
- **Artists and staff:** pay the artists, crew and suppliers they engage.
- **Rights in material:** own or have permission to use every image, logo, name and text they send for the listing.
- **Attendee data:** use buyers’ details only to run this event, and keep them private.

### Promotion, content and data

- The organiser lets Headtilts use the event’s name, logos, images, artist names and descriptions to list and promote the event, until 30 days after it ends.
- Headtilts may name the event and the organiser in its own coverage and marketing, and may write about the event editorially. Editorial coverage stays independent.
- Headtilts owns the buyer relationship and handles buyers’ data under its privacy policy. The organiser does not sell or share attendee details, or add them to marketing lists without the buyer’s consent.
- Both parties keep the commercial terms of this agreement private.

### Liability, ending the agreement, law and disputes

- **The event is the organiser’s:** the organiser is responsible for, and covers Headtilts against, claims arising from the event, the venue, the lineup, injury or loss at the event, missing permissions, or material the organiser supplied.
- **Limit:** apart from paying the organiser’s share, Headtilts’ liability under this agreement is limited to the commission it earned on the event. Neither party is liable for indirect loss or lost profit.
- **Outside anyone’s control:** neither party is at fault for failure caused by events beyond reasonable control, such as natural disaster, government order or a widespread outage. Buyers are still refunded.
- **Ending early:** either party may end this agreement by written notice if the other seriously breaks it and doesn’t put it right within 7 days. If it ends before the event, ticket sales stop, every buyer is refunded in full, and the organiser pays any commission Headtilts keeps under this agreement.
- **Whole agreement:** this agreement, the site’s terms and its refund policy are the whole deal. Changes are valid only as a new version accepted by both parties.
- **Law and courts:** Indian law applies. Both parties first try to settle a dispute by talking for 15 days; after that, the courts at Silchar, Assam have jurisdiction.
- **Electronic acceptance:** both parties agree to accept this agreement electronically, and the accepted electronic record is an original.
